Job Description

Are you a highly organised individual with a passion for governance and compliance? We are seeking a dedicated Company Secretary to join a dynamic team. You will lead in the delivery of comprehensive administration and governance advice services.

Responsibilities:

  • Lead the annual planning and implementation of the Board & Committees Calendar of Meetings, including approximately 40 meetings per annum
  • Manage all Board, Subsidiary, and Committee meetings, ensuring efficient operation and compliance.
  • Prepare and present reports on governance-related matters to the Board, Committees, and Executive Leadership Team (ELT)
  • Coordinate and implement additional Board and Committee activities such as strategy days, workshops, and urgent decisions
  • Ensure statutory and regulatory compliance, including submissions to the Financial Conduct Authority, Welsh Government, and Companies House
  • Advise and guide Board & Committee members on their roles & responsibilities
  • Manage and supervise Governance Officers, providing support and technical guidance
  • Maintain high-quality governance records and registers, ensuring accuracy and compliance

Skills and experience:

  • Experience working within established guidelines and maintaining confidentiality
  • Proven ability to manage a busy workload and meet deadlines.
  • Experience providing administrative support and technical guidance to Executives, Board members, and Senior Management
  • Effective minute-taking skills and excellent organisational skills
  • Strong communication, relationship management, and customer service skills
